Welcome to Task Genie. These Terms of Service ("Terms") govern your access to and use of Task Genie's customer journey management platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Service Description

Task Genie provides a cloud-based customer journey management platform that unifies sales pipeline management, project delivery, customer success, and support operations. The Service includes:

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You must be at least 18 years old and have the legal capacity to enter into contracts.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any security breach.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Subscription and Billing

4.1 Free Trial

We offer a 14-day free trial for new users. No credit card is required for the trial. At the end of the trial period, you must select a paid plan to continue using the Service.

4.2 Paid Subscriptions

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as expressly stated in these Terms.

4.3 Payment Terms

• You authorize us to charge your payment method for all fees when due
• You are responsible for providing valid payment information
• We may suspend or terminate your account for non-payment
• Prices are subject to change with 30 days' notice

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of prepaid subscriptions, except as required by law.

While we perform regular backups, you are responsible for maintaining your own backup copies of Your Content. We are not liable for any loss or corruption of Your Content.

The Service, including all software, content, trademarks, and materials, is owned by Task Genie and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

8. Service Availability

8.1 Uptime

We strive to maintain 99.9% uptime for the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We may modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

9. Disclaimers

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Task Genie, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content

12. Termination

12.1 By You

You may terminate your account at any time through your account settings or by contacting support.

12.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or for any other reason at our discretion.

12.3 Effect of Termination

Upon termination, your right to access the Service will immediately cease. You may request an export of Your Content within 30 days of termination. After 90 days, we may permanently delete Your Content.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@task-genie.ai and attempt to resolve the dispute informally for at least 30 days.

13.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration shall take place in Delaware, USA.

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis, and you waive your right to participate in class actions or class-wide arbitration.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

14.2 Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use after changes become effective constitutes acceptance.

14.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Task Genie regarding the Service.
